[spa] El sector económico del turismo es uno de los más importantes en España y,
en particular, en las Islas Baleares, donde importantes cadenas hoteleras de
gran renombre mundial tienen sus oficinas centrales.
El presente trabajo analiza las relaciones contractuales entre Meliá Hotels, la
principal de las cadenas hoteleras de baleares, y los intermediarios que
garantizan un porcentaje sustancial de las reservas de habitaciones en sus
hoteles.
La actividad intermediaria ha evolucionado en los últimos veinte años,
aproximadamente, con la presencia de las agencias de viajes online (OTAS).
La comunicación entre el hotel y el intermediario se canaliza a través de los
contratos de reserva de habitaciones. En el trabajo veremos las diferencias
entre los contratos con OTAS, caracterizados por ser mucho más virtuales y
directos, y los contratos con tour operadores, donde se mantiene cláusulas más
tradicionales como las de release y allotment, entre otras.
Se estudiarán contratos reales entre Meliá y empresas intermediarias para
analizar sus principales aspectos económicos. Estos podrán ser forward, si son
contratos con garantía de uso de la habitación, o de opción. Además, el
margen del intermediario podrá obtenerse aplicando un porcentaje sobre el
precio final o un descuento sobre la tarifa contractual.
[eng] Tourism is one of the most important economic sectors in Spain,
and in particular in the Balearic Islands, where important hotel chains with
hotels around the world have their headquarters.
This project analyzes the relationships of the most important Balearic hotel
chain, Meliá Hotels, with the agencies and intermediaries that represent a
significant percentage of its room bookings.
The intermediate situation has evolved with the presence of online travel
agencies (OTAS). The communication between the hotel and the intermediary
for booking hotel rooms is channeled through the hotel reservation contract,
which establishes all contractual variables. However, a distinction has to be
made between contracts with OTAS, characterized by being much more virtual
and direct, and contracts with tour operators, which are those where more
traditional contractual clauses such as release, allotment do remain.
We analyze real hotel reservation contracts, and detail its main economics
aspects. These contracts can be forward, if they are contracts which guarantee
the use of the room, or feature an option. In addition, the intermediary margin
can be obtained by applying a percentage on the final price or a discount on the
contractual rate.
